These Terms govern your access to and use of Railguard AI’s products and services (the “Services”). By purchasing, accessing, or using the Services, you agree to these Terms.
Pilot term is four (4) weeks unless otherwise agreed in writing. Pilot fees for Foundation ($25k) and Growth ($50k) are 100% creditable toward the corresponding annual plan if converted within thirty (30) days of pilot completion.
If Railguard does not meet the mutually agreed pilot success criteria within the four‑week pilot window, you may elect either (a) a free extension until criteria are met, or (b) a refund per Section 2.2 below.
Refunds apply to pilot fees only and exclude payment processing or third‑party charges. Refunds are issued to the original payment method within thirty (30) days.
Annual plans commence on the service start date and renew automatically for successive one‑year terms unless either party provides written notice of non‑renewal at least thirty (30) days before the end of the then‑current term.
You may cancel renewal with thirty (30) days’ advance written notice. Cancellation does not entitle you to a refund of fees already paid unless otherwise required by law.
Enterprise plans may include enhanced availability targets up to 99.99% (“SLA”). Specific SLA terms, credits, and exclusions are defined in the applicable order form or service schedule and prevail over this document in case of conflict.
Railguard provides cryptographically signed receipts designed to serve as audit evidence for various frameworks (e.g., SOC2, ISO 27001, HIPAA, GDPR, EU AI Act). Acceptance is determined by your auditor. Railguard does not guarantee certification outcomes.
Unless otherwise stated, fees are due net thirty (30) days from invoice date. Late payments may incur finance charges.
You will not misuse the Services, attempt to bypass security controls, or infringe third‑party rights.
Each party will protect the other’s confidential information. Railguard processes data in accordance with the Data Processing Addendum and Privacy Policy.
Services are provided “as is” except as expressly stated. Railguard disclaims implied warranties to the maximum extent permitted by law.
To the maximum extent permitted by law, neither party is liable for indirect, special, incidental, or consequential damages; liability in the aggregate is limited to amounts paid in the twelve (12) months before the claim.
These Terms constitute the entire agreement for the Services and may be modified in writing by both parties.
